RECITALS

This Agreement sets forth the terms and conditions under which Client will provide Service Provider with

certain Equipment under bailment and Service Provider will provide certain support services to Client on

specied service Provider premises (hereinafter referred to as the "Service Provider Networ.

WHEREAS. Service Provider is desirous and capable of providing support services for certan Client•

WHEREAs. Client desires to have the Equipment supported by Service Provider in a desionated portior

referred to as the Locaton and equipment Summarv, which is attached hereto and made a part hereol:

WHEREAS, Client and Service Provider (hereinafter referred to cumulatively as the "Parties" and

Singularly as the Party have agreed on lhe ferms which shall govern the bailment and support of the

Equioment as set forth in Exhibit B of this agreement (hereinafter referred to as the "Statement of Work*)

which is attached hereto and made a part hereof, and as set forth in Exhibit C of this agreement

(hereinafler referred to as the Non-Recurring and Monthlv Recurrina Pricina Summarv. which is

attached hereto and made a part hereof.

NOW. THEREFORE, in consideration of the mutual agreements and promises contained herein and for

other good and valuable consideration, the recept and sufficiency of which is hereby acknowledged, the

Parties agree as follows

UNDERTAKINGS

Client will provide for the inside delivery of the Equipment at the Service Provider Network

Locaton s) as spectied in the Location and tquipment Summary with proper and timely notification
